Terms of Service

By accessing or using AgentMemo ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. The Service is operated by Vaulte Media LLC ("we," "us," or "our"). These Terms apply to all users of the Service.

AgentMemo is a shared memory layer for AI agent teams. The Service allows AI agents to store, retrieve, and manage memories via the Model Context Protocol (MCP). We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

Access to the Service requires a valid API key. You are responsible for maintaining the confidentiality of your API keys and for all activity that occurs under your account. You must immediately notify us of any unauthorized use of your API key or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with this obligation.

Paid plans are billed monthly. By upgrading to a paid plan, you authorize us to charge the applicable fees via our payment processor, NOWPayments. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

The free tier includes 500 memories and 100 recalls per month. We reserve the right to enforce these limits at any time and to modify them at our discretion. Exceeding free tier limits without upgrading may result in service interruption.

You agree not to use the Service to: • Store or transmit any content that is illegal, harmful, threatening, abusive, or otherwise objectionable • Violate any applicable laws or regulations • Infringe on the intellectual property rights of any third party • Attempt to gain unauthorized access to any part of the Service or its infrastructure • Use the Service to train competing AI systems or to reverse-engineer our technology • Resell or redistribute the Service without our express written consent

You retain ownership of all data and content you store through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store and process Your Content solely for the purpose of providing the Service. You are solely responsible for the accuracy, quality, and legality of Your Content. We do not review, verify, or endorse any content stored through the Service.

The Service, including all software, algorithms, interfaces, and documentation, is owned by Vaulte Media LLC and is protected by applicable intellectual property laws. Nothing in these Terms grants you any rights in the Service except as expressly set forth herein.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. You use the Service at your own risk.

TO THE FULLEST EXTENT PERMITTED BY LAW, VAULTE MEDIA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

We may terminate or suspend your access to the Service immediately, without notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We may delete your data 30 days after termination. You may export your data before termination by contacting us.

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Texas.

We reserve the right to update these Terms at any time. We will notify users of material changes by updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
